Terms of Service

DRAFT: pending legal review. Not yet in force.

Effective date to be set at launch · Contact: support@runbackstop.com

1. The service

Backstop is a Shopify application that enforces credit limits you configure for your B2B customers and reports each company's outstanding balance. Backstop is software only: it is not a bank or a credit provider, it does not advance funds, collect debts, or evaluate any company's ability to pay. You are solely responsible for the limits you set and for your decisions to extend payment terms.

2. Your account

You must have a Shopify store and accept Shopify's own terms. You are responsible for the accuracy of the settings you configure and for maintaining access to your Shopify account.

3. Fees

Backstop is billed through Shopify at the price shown on the App Store listing, after any free trial. Fees are non-refundable except where required by law.

4. Service behavior

Backstop is designed to fail open: if the service errs or is unavailable, checkout proceeds with Shopify's stock behavior. Backstop may therefore fail to hide a payment option that your settings would otherwise hide. You acknowledge that Backstop does not guarantee any order will be prevented, and that order and balance figures may lag or require reconciliation.

5. Disclaimers and limitation of liability

The service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Backstop is not liable for indirect, incidental, special, or consequential damages, including unpaid customer balances, lost profits, or lost data. Our total aggregate liability arising out of the service is limited to the fees you paid in the twelve (12) months preceding the claim.

6. Termination

You may uninstall at any time; data deletion follows the timeline in the privacy policy. We may suspend or terminate the service for breach of these terms with notice where practicable.

7. Governing law

Governing law and venue: to be completed at legal review.
